These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Meexh (Hangzhou) Tech Co., Ltd, doing business as MeeXH ("MeeXH," "we," "us," or "our"), governing your access to and use of the MeeXH website located at www.meexh.com (the "Site"), the MeeXH mobile application (iPetLife, the "App"), the MeeXH hardware device (the "Device"), all related subscription services, and any other products or services provided by MeeXH (collectively, the "Services").
By accessing or using the services, you acknowledge that you have read, understood, and agree to be bound by these terms. If you do not agree to these terms, you must not access or use the services.
1. Eligibility
By using the Services, you represent and warrant that:
- You are at least eighteen (18) years of age (or the age of majority in your jurisdiction).
- You have the legal capacity to enter into a binding contract.
- You are not prohibited by applicable law from using the Services.
- All information you provide to MeeXH is true, accurate, current, and complete.
2. Account Registration
2.1 Account Creation
To access certain features of the Services, including device management, location tracking, and subscription management, you must create a MeeXH account. You agree to:
- Provide accurate, current, and complete registration information.
- Maintain and promptly update your account information to keep it accurate.
- Maintain the confidentiality of your account credentials and password.
- Accept responsibility for all activities that occur under your account.
- Notify MeeXH immediately of any unauthorized use of your account or any breach of security.
2.2 Account Termination
MeeXH reserves the right, in its sole discretion, to suspend or terminate your account and access to the Services at any time, with or without notice, for any reason, including but not limited to a breach of these Terms, fraudulent activity, or conduct that MeeXH believes may harm MeeXH, its users, or third parties.
3. Purchases and Payments
3.1 Orders
All orders placed through the Site are subject to acceptance by MeeXH. We reserve the right to refuse or cancel any order for any reason, including but not limited to product availability, errors in product or pricing information, or suspected fraud. If we cancel an order after payment has been processed, we will issue a full refund to the original payment method.
3.2 Pricing and Payment
All prices displayed on the Site are in United States Dollars (USD) unless otherwise stated and are subject to change without notice. Prices do not include applicable taxes, shipping, or handling charges, which will be calculated and displayed at checkout. You agree to pay all charges incurred in connection with your purchase, including applicable taxes.
3.3 Payment Processing
Payment transactions are processed by third-party payment processors, including but not limited to Stripe, PayPal, or Airwallex. By submitting your payment information, you authorize MeeXH and its payment processors to charge the applicable payment method. Payment processing is governed by the respective payment processor's terms of service and privacy policy.
4. Subscription Services
4.1 Subscription Plans
Certain features of the Device, including but not limited to cellular connectivity and advanced tracking functionality, require an active subscription plan ("Subscription"). Subscription plans, pricing, features, terms, and billing cycles are as described on the Site and at the time of sign-up.
4.2 Cellular Connectivity
The Device uses an embedded SIM (eSIM) for cellular network connectivity. The eSIM service is provided by A1 Telekom Austria AG. Cellular coverage, signal availability, and data speeds depend on network infrastructure and are not guaranteed in all locations. MeeXH is not responsible for interruptions, limitations, or failures in cellular service provided by A1 Telekom Austria AG or any third-party network operator.
4.3 Auto-Renewal and Cancellation
Subscriptions automatically renew at the end of each billing cycle unless cancelled prior to the renewal date. You may cancel your Subscription at any time through your MeeXH account settings. Upon cancellation, your Subscription will remain active through the end of the current billing period.
Subscription refunds must be requested separately and are governed by our Return and Refund Policy, which provides: (a) a full refund within the first seven (7) calendar days of the initial subscription purchase; or (b) a pro-rated refund of the remaining unused portion of the current billing cycle for refund requests submitted after the first seven (7) calendar days. Returning your MeeXH device does not automatically refund your Subscription — you must contact MeeXH Customer Support to initiate a separate subscription refund request.
4.4 Fee Changes
MeeXH reserves the right to modify Subscription fees upon reasonable notice. We will notify you of any fee changes by email or through the App. Continued use of the Services after the effective date of a fee change constitutes acceptance of the new fees.
5. Device Use, Limitations, and Safety
5.1 Proper Use
The MeeXH Device is designed as a pet tracking and monitoring tool. You agree to use the Device and Services in accordance with all applicable laws and regulations, and solely for their intended purpose. You acknowledge and agree that:
- The Device is not a physical restraint and will not prevent your pet from leaving a designated area, encountering hazards, or engaging in dangerous behavior.
- The Device is an aid to, not a replacement for, responsible pet ownership, supervision, training, and common sense.
- The Device the straps, and accessories must be properly fitted and maintained according to the user manual and instructions. Improper fitting or use may result in device malfunction, loss, or injury.
5.2 GPS and Location Accuracy
The Device relies on Global Navigation Satellite System (GNSS) technology, cellular triangulation, Bluetooth, and Wi-Fi to determine location. You acknowledge and agree that:
- GNSS signals may be blocked, degraded, or unavailable in certain environments, including but not limited to indoors, underground, dense urban areas, heavily forested areas, and areas with overhead obstruction.
- Location accuracy may vary depending on environmental conditions, satellite availability, signal strength, and atmospheric conditions.
- Location data may be delayed, interrupted, or inaccurate.
- MeeXH does not guarantee the accuracy, reliability, availability, or timeliness of location data.
- You are solely responsible for taking all precautions necessary to ensure the safety and well-being of your pet.
5.3 Geographic Limitations
The Services, including eSIM cellular connectivity, may not be available in all countries, regions, or locations. Cellular coverage is limited to areas served by A1 Telekom Austria AG and its roaming partners. You are responsible for verifying that the Services are available and compatible with your geographic area prior to purchase.
5.4 Safety Warnings
- Do not leave the Device on your pet for extended periods without inspection. Regularly check for signs of irritation, chafing, or discomfort.
- Remove the Device from your pet before any activity that may exceed the Device's specifications, including prolonged submersion beyond IP68-rated depth or duration.
- Do not use the Device on aggressive animals or animals with a known history of attacking or biting.
- Keep small components, including charging cables, straps, and accessories, out of reach of children and pets to prevent choking hazards.
6. Intellectual Property
6.1 MeeXH Intellectual Property
The Site, App, Device, Services, and all associated content, features, and functionality including but not limited to software, source code, object code, firmware, design, text, graphics, logos, icons, images, audio, video, trademarks, service marks, trade names, and the selection and arrangement thereof are owned by MeeXH, its licensors, or other providers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
6.2 License Grant
Subject to your compliance with these Terms, MeeXH grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site and App for your personal, non-commercial use. This license does not include any right to:
- Modify, adapt, translate, or create derivative works of the Services.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the App or Device firmware.
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices.
- Use the Services for any illegal purpose or in violation of any applicable law.
6.3 User Content
You retain ownership of any content you submit, post, or display through the Services ("User Content"). By submitting User Content, you grant MeeXH a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content for the purpose of operating and improving the Services.
7. Acceptable Use
You agree not to engage in any of the following prohibited activities:
- Using the Services for any unlawful purpose or in violation of any applicable local, state, national, or international law.
- Interfering with or disrupting the Services, servers, or networks connected to the Services.
- Attempting to gain unauthorized access to any portion of the Services, other user accounts, or computer systems.
- Using the Services to harass, abuse, harm, stalk, or threaten any person or animal.
- Uploading or transmitting viruses, malware, or any other malicious code.
- Using any automated means (including bots, spiders, or scrapers) to access or collect data from the Services without our express written permission.
- Impersonating any person or entity, or falsely stating or misrepresenting your affiliation with any person or entity.
- Using the Services in any manner that could disable, overburden, damage, or impair the Site or App.
8. Third-Party Services
The Services may contain links to, or integrate with, third-party websites, applications, and services not owned or controlled by MeeXH. MeeXH has no control over, and assumes no responsibility for, the content, privacy policies, terms of service, or practices of any third-party websites or services. You acknowledge and agree that MeeXH shall not be liable for any damage or loss arising from your use of or reliance on any third-party content, products, or services.
9. DISCLAIMER OF WARRANTIES
To the maximum extent permitted by applicable law, the services, including the site, app, device, and all related content and functionality, are provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied. Meexh expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Without limiting the foregoing, Meexh makes no warranty or representation that:

The services will meet your requirements or expectations.

The services will be uninterrupted, timely, secure, or error-free.

GPS location data will be accurate, reliable, complete, or available at all times.

The device will prevent your pet from escaping, becoming lost, or being injured.

Cellular coverage or data connectivity will be available in all geographic areas.

Any defects or errors will be corrected.
Your use of the services is at your sole risk. Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you.
10. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, in no event shall Meexh, its affiliates, directors, officers, employees, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to:
- Loss of or injury to a pet;
- Loss of use, loss of data, or loss of profits;
- Cost of procurement of substitute goods or services;
- Personal injury, property damage, or emotional distress; or
- Any damages arising out of or related to the use of, inability to use, or reliance on the services, including but not limited to GPS tracking errors, cellular connectivity failures, or device malfunctions,
Arising under any theory of liability, whether in contract, tort (including negligence), strict liability, product liability, or otherwise, even if Meexh has been advised of the possibility of such damages.
In any event, Meexh's total aggregate liability to you for all claims arising out of or relating to these terms or the services shall not exceed the greater of: (a) the amount you paid to Meexh for the specific product or service giving rise to the claim during the twelve (12) months preceding the event; or (b) one hundred United States dollars ($100.00).
The limitations set forth in this section shall apply even if any remedy fails of its essential purpose. Some jurisdictions do not allow the exclusion or limitation of liability for incidental or consequential damages, so the above limitation may not apply to you.
11. Indemnification
You agree to defend, indemnify, and hold harmless MeeXH, its affiliates, directors, officers, employees, agents, suppliers, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of, or inability to use, the Services.
- Your violation of these Terms or any applicable law.
- Your violation of any third-party right, including intellectual property or privacy rights.
- Your User Content.
- Any injury, loss, or damage to any person or animal arising from your use or misuse of the Device or Services.
12. Governing Law and Dispute Resolution
12.1 Governing Law
These Terms and any dispute arising out of or relating to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.
12.2 Dispute Resolution
Informal Resolution. Before initiating any formal legal action, you agree to first contact MeeXH at support@meexh.com and attempt to resolve the dispute informally. If the dispute is not resolved within sixty (60) days of your notification, either party may proceed with formal legal action as described below.
12.3 Class Action Waiver
You and Meexh agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. Unless both you and Meexh agree otherwise, a court may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.
13. Termination
13.1 Termination by You
You may terminate these Terms at any time by closing your MeeXH account and ceasing all use of the Services. Termination does not relieve you of any payment obligations incurred prior to termination.
13.2 Termination by MeeXH
MeeXH may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including but not limited to:
- Breach of these Terms.
- Conduct that MeeXH believes may harm MeeXH, its users, or third parties.
- Fraudulent, illegal, or abusive activity.
- Discontinuation or material modification of the Services.
13.3 Effect of Termination
Upon termination, your right to access and use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
14. Changes to These Terms
MeeXH reserves the right to modify or replace these Terms at any time. When we make material changes, we will notify you by:
- Posting the updated Terms on the Site with a revised "Last Updated" date.
- Sending an email notification to the email address associated with your account (for material changes).
- Displaying a notice within the App.
Your continued use of the Services after the effective date of any revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must discontinue use of the Services and close your account.
15. General Provisions
15.1 Entire Agreement
These Terms, together with our Privacy Policy, Return and Refund Policy, and any other policies or agreements referenced herein, constitute the entire agreement between you and MeeXH concerning the Services and supersede all prior agreements and understandings, whether written or oral.
15.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.
15.3 Waiver
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. MeeXH's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
15.4 Assignment
You may not assign or transfer these Terms, or any rights or obligations hereunder, without MeeXH's prior written consent. MeeXH may freely assign or transfer these Terms without restriction. Any attempted assignment in violation of this provision shall be null and void.
15.5 Force Majeure
MeeXH shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, labor disputes, natural disasters, pandemics, governmental actions, utility or telecommunications failures, or internet service interruptions.
